Birkett Long LLP acted for the Sellers on the sale of their shares in Gemini Care Limited to a new corporate owner.

After being involved in the care home business for a long time and creating two respected care homes, Winchley Home and The Lodge, which have positive CQC inspections with no requirements or recommendations, finding the right buyer was key for our clients. Christies & Co healthcare specialist Robert Mellamphy assisted the owners in finding a suitable buyer.

The team at Birkett Long was led by Tracey Dickens, a Partner in the Commercial and Corporate Finance Team of the firm. She was supported by Emma Wraight, an Associate Solicitor, who provided advice on the property aspects of the transaction.

The sellers were also provided with accounting and tax advice by Russell Tenzer and his team at Hazlems Fenton LLP.

Commenting on the transaction, Tracey said, “With Gemini Care Limited’s business consisting of two care homes at separate locations the disclosure process was more detailed, effectively having to provide two sets of similar information for each home, but our client’s records were in good order enabling all relevant information to be provided for the detailed enquiries and warranties. The transaction also involved removal of some assets not associated with the care business prior to completion.”
