Examples of the type of joint venture work we have been involved in ranges from a Shareholders Agreement for a start-up business that is jointly-owned to a joint venture between a large national construction company and a Dutch construction company. We also deal with Shareholders Agreements required as part of a partial buy-out of a company or as a result of a management buy-out.
Recent transactions include the multi-million pound buy-out of an international joint venture arrangement by one of the 50% shareholders.
Unfortunately when it comes to contracts involving shareholders too often we come across the situation where clients have not entered into a properly drafted Shareholders Agreement. Disputes tend to be verry acrimonious, despite our best efforts to try and settle the dispute, and can cost the shareholders considerable sums of money to resolve. Much of this acrimony could be avoided with a properly drafted Shareholders Agreement.
