Our large team of 6 solicitors have over 70 years of experience between them, including knowledge gained through working at City firms.

Clients include small owner managed businesses and large public companies in both the public and private sectors, such as Care UK PLC and the University of Essex.  Examples of the type of work we have been involved in ranges from the sale of a local hairdresser to a joint venture between a large national construction company and a Dutch construction company.

Transactions include sales, purchases, mergers, management buy-outs and joint ventures. Deals involve sale or purchase of all or some of the assets of a business for a few thousand pounds to the sale or purchase of the entire issued share capital of a company for up to £20 million.

Recent transactions include the sale of a substantial chain of car showrooms, the buy-out of a joint venture and the purchase of a staff agency  (involving an earn out arrangement). 

Further, our team is able to advise on corporate restructuring, and the formation of groups of companies or their demerger.  Examples of our work include rationalisation of a large manufacturing group of companies and restructuring a group, which imports car equipment and tools.  We liaise closely with your accountants to ensure the restructuring minimises tax liabilities resulting from the transaction, and to deliver the solution that best meets your needs.

We also have acknowledged expertise in advising contractors in relation to schemes under the Government's Private Finance Initiatives scheme.
