The Companies Act 2006 in focus

Come and join Birkett Long LLP for our next round of seminars dealing with the Companies Act 2006, where we will be reflecting on some of the provisions that have already come into force and looking at those provisions that will be effective from 1 October 2008 and 1 October 2009.

This significant piece of legislation is being introduced in stages and our seminars, one in Chelmsford on the 24 September 2008 and one in Colchester on 26 September 2008, will be an opportunity for you to find out about the changes, past, present and future. There will also be an opportunity to ask questions of our speakers (all lawyers in our Commercial and Corporate Finance Team) and receive some practical guidance that will help you implement the changes that are applicable to your business.

From 1 October 2008 there are some key topics you must know about if you are a director or owner of a company:

• The restrictions under the Companies Act 1985 on financial assistance for the acquisition of shares in private companies will be repealed as will the "whitewash" procedure.
• Changes relating to corporate directors and underage directors.
• Changes to the general duties of directors in situations where there are conflicts of interest.
• Changes to the way in which a director has to declare an interest in an existing transaction or arrangement.
• New rules that relate to the reduction of capital under the new solvency statement procedure for private companies.
